Terms of Service

Effective 1 June 2026 · Last updated 24 September 2026 · United Kingdom

1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you (and, where you use the Service on behalf of an organisation, that organisation) and Together Films Ltd ("we", "us", "our") governing your access to and use of ImpactDistribution.IO (the "Service"). By creating an account, joining the waitlist, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Where we have signed a separate order form, statement of work or master services agreement with your organisation, that document takes precedence over these Terms to the extent of any conflict (see Section 6).

2. Who We Are

ImpactDistribution.IO is operated by Together Films Ltd, a company registered in England and Wales. You can reach us at hello@impactdistribution.io.

3. Accounts & Eligibility

You must be at least 18 years old and able to enter a binding contract to use the Service.

You are responsible for keeping your account credentials secure and for all activity that happens under your account. Notify us immediately if you suspect unauthorised access.

4. Roles, Seats & Permissions

Paid plans include a set number of seats (team member accounts). The person who creates or pays for a workspace is its account owner and is responsible for the conduct of every team member they invite, and for keeping seat counts within the plan limit.

Users with admin or owner roles can invite and remove members, change permissions, connect integrations and modify billing. Actions taken by your admins are binding on your organisation. We are not responsible for disputes between team members over access or permissions.

Read-only and view-only seats, where offered, do not count towards paid seat limits unless stated otherwise at checkout or in an order form.

5. Subscription, Trials & Billing

Paid plans are billed monthly or annually in advance via our payments processor (Stripe). Prices are shown in your local currency where supported, otherwise in GBP. Taxes (VAT) are added where applicable.

Free trials, founding-member discounts and promotional pricing are offered at our discretion and may be limited in number or duration. Founding-member lifetime discounts apply for as long as the subscription remains continuously active without cancellation.

By subscribing you authorise us to charge the payment method on file at the start of each billing period. Failed payments may result in suspension of the Service after reasonable notice.

Annual and enterprise plans may be invoiced instead of charged by card. Invoiced amounts are payable within 30 days of the invoice date unless otherwise agreed in writing. We may charge interest on overdue invoices at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998 and may suspend access while invoices remain unpaid after notice.

6. Order Forms & Enterprise Terms

Organisations on enterprise, agency or multi-film arrangements may sign an order form or statement of work with us setting out scope, pricing, seats, invoicing, term length and any bespoke commitments. Where a signed order form conflicts with these Terms, the order form prevails for that organisation.

Each order form is incorporated into, and governed by, these Terms unless it expressly states otherwise.

7. Cancellation & Refunds

You can cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period and you retain access until then.

We offer a 7-day money-back guarantee on first-time paid subscriptions. After that, payments are non-refundable except where required by law. Annual plans are not pro-rated on cancellation. See our Refund Policy for details.

8. Service Levels & Support

We aim to keep the Service available at all times, targeting at least 99.5% monthly availability excluding scheduled maintenance. Scheduled maintenance is carried out outside peak hours where practicable and announced in advance in-product or by email when it may affect your work.

Current and historical availability is published on our status page.

Support is available via in-product help and by email at hello@impactdistribution.io. We aim to respond to support requests within one UK business day, prioritising issues that block live campaigns or events. No service-level credits apply unless agreed in a signed order form.

9. Acceptable Use

You agree not to:

  • Use the Service to break the law, infringe rights, or harm others.
  • Upload malware, attempt to gain unauthorised access, or interfere with the Service.
  • Scrape, reverse-engineer, resell, or attempt to replicate or compete with the Service (see Section 13) without our written consent.
  • Use the Service to send spam or unsolicited communications.
  • Misrepresent your identity or affiliation with any film, organisation, or person.

We may suspend or terminate accounts that breach this section.

10. Your Content & Data

You retain all rights to the data, films, contacts, plans and other content you upload ("Your Content"). You grant us a limited licence to host, process and display Your Content solely to operate the Service for you and your authorised collaborators.

You can export Your Content at any time. On account deletion we remove Your Content within 30 days, subject to backups and legal-retention requirements detailed in our Privacy Policy.

11. Data Processing & Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

Where you upload personal data about other people (for example contacts, screening guests, award voters or newsletter subscribers), you act as the data controller and we act as your data processor. You confirm you have a lawful basis to upload and process that data, including under UK GDPR, and that you will honour access, correction and deletion requests for it.

We process personal data only to provide the Service, apply appropriate technical and organisational security measures, and do not sell personal data or use it for our own marketing. Sub-processors (hosting, email delivery, payments, AI processing) are listed in the Privacy Policy.

12. Managed Campaigns & Imported Data

Some workspaces are operated in collaboration with Together Films' distribution team. In those cases we may import data into your workspace on your behalf or from our own systems — for example target festivals, venue research, press contacts or award voters.

Data we contribute from our own systems ("Together Films Data") remains our property or that of our licensors. Certain records — such as private contact details for industry voters — are shown in masked form and are only disclosed to you when the individual engages with your campaign (for example by replying, registering for an event, purchasing a licence or subscribing to your updates). You may not attempt to circumvent this masking.

Relationship data created through Together Films' own activities (for example invitations to our industry events) may be retained by us and used across our business, even where the contact was originally uploaded by you. This does not affect your ownership of Your Content.

13. Our Intellectual Property & System Design

The Service, including its software, design, content, trademarks and the brand "ImpactDistribution.IO", is owned by Together Films Ltd and protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.

The Service as an integrated system. The value of ImpactDistribution.IO lies in the way its capabilities are designed to work together as a single system — combining impact strategy, campaign management, contact and organisation CRM, outreach and communications, screener and film delivery, screening and event management, ticketing, licensing and sales, festival and awards planning, funding and finance, reporting and analytics. This combination, the workflows connecting these capabilities, the data models, terminology, interface design and underlying processes are our proprietary system. You may not replicate this system, or any substantial part of it, in another product or service.

No competing use. You may not use the Service, Your account, or any knowledge, workflows, templates, configurations, data structures or insights gained from using or accessing the Service, to build, develop, support or operate a product or service that competes with the Service or any substantial part of it. This applies during your subscription and afterwards. It does not restrict you from using your own campaign outputs and Your Content (see Section 10) in your normal distribution work.

No reverse engineering or extraction. You may not reverse engineer, decompile or disassemble the Service, probe or scan its infrastructure, scrape or systematically extract data, code or interface content, attempt to derive its source code, architecture or trade secrets, or benchmark the Service for the purpose of developing a competing product. Automated access is permitted only through integrations we publish.

Trade secrets. Non-public aspects of the Service — including its architecture, integration setup, internal processes, data sources and methods — are our trade secrets and confidential information. You agree to protect them with reasonable care and not to disclose them to anyone who would use them to replicate or compete with the Service. This supplements, and does not replace, the confidentiality obligations in Section 16.

If you breach this section, we may suspend or terminate your account immediately, and we may seek an injunction (an urgent court order to stop the activity) in addition to other remedies, since money alone may not be an adequate remedy.

14. AI-Generated Output

The Service includes AI features (the "AI agents", chat assistance, drafting tools) that generate suggestions, strategies and content. AI output is provided as a starting point and may be incomplete, inaccurate or out of date. You are responsible for reviewing and verifying any AI output before relying on it. We make no warranty as to the accuracy of AI-generated content.

15. Third-Party Services & Integrations

The Service integrates with third-party tools, including Stripe (payments), Zoom (meetings, webinars and recordings), Google and Microsoft (calendar and mailbox connections), Mapbox (maps), Bitmovin (video delivery), email providers, social media APIs and ticketing partners. Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party outages, changes, pricing or data handling beyond our control.

Zoom. You may connect your own Zoom account to the Service via Zoom's authorisation flow. When you do, we access only the data needed to provide the integration: your basic Zoom profile, the ability to create and manage meetings on your behalf when you ask us to, and — where you have enabled cloud recording with transcripts in your Zoom settings — recordings and transcripts of meetings created through the Service, so we can attach them to the relevant contact, deal or event. We do not access meetings you created outside the Service.

You can disconnect Zoom at any time from your Settings, and you can remove the ImpactDistribution.IO app from your Zoom account via the Zoom App Marketplace. On disconnection we stop accessing your Zoom account immediately; meeting details already stored in your workspace remain until you delete them or close your account, and you may ask us to delete them sooner via hello@impactdistribution.io. Your use of Zoom itself is governed by Zoom's own terms of service, and meeting attendees may be subject to Zoom's policies when joining.

Calendar and mailbox connections. Where you connect a Google or Microsoft account, we read free/busy availability to prevent double bookings and, where enabled, send email from your own mailbox. We do not read the content of unrelated calendar events or emails. You can revoke these connections at any time from your Settings or from your Google/Microsoft account permissions.

Bitmovin (video delivery). Film files you upload to the Service — including screeners and sales materials — are encoded, secured and streamed using Bitmovin's video platform. Bitmovin processes those files on our behalf to deliver watermarked, secure playback to the people you share them with. This is infrastructure operated by us rather than a connection you switch on: film files remain under your control within the Service, are access-restricted to authorised viewers, and are deleted from the Service (and Bitmovin's platform) when you delete them or close your account, subject to any retention described elsewhere in these Terms. You are responsible for having the rights to upload and share the film material you submit, and for who you grant access to. Bitmovin's own processing of the files is governed by our agreement with Bitmovin, not directly with you.

16. Confidentiality

Each party agrees to protect the other's confidential information with reasonable care and to use it only to perform under these Terms. Confidential information does not include information that is public, independently developed, or rightfully received from a third party.

Campaign strategies, financial data, contact lists and unreleased film information within your workspace are treated as your confidential information and are not shared with other customers.

17. Warranties & Disclaimers

We provide the Service "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

18. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or exemplary damages, or for lost profits, revenue, or data, arising out of these Terms or the Service.

Our total aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to liability, or (b) GBP 100.

The caps and exclusions in this section do not apply to either party's indemnity obligations, breach of the Confidentiality section, or your obligation to pay fees due.

Nothing in these Terms limits liability that cannot be limited under applicable law.

19. Indemnity

You agree to indemnify and hold us harmless against any claims, losses and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms, including any claim by a person whose personal data you uploaded without a lawful basis.

20. Termination

Either party may terminate the agreement for material breach that is not cured within 30 days of written notice. We may suspend or terminate immediately for breaches of the Acceptable Use section or where required by law. Sections that by their nature survive termination (such as ownership, liability, indemnity and governing law) continue to apply.

For 30 days after termination or expiry of your subscription we will keep Your Content available for export on request. After that window it may be permanently deleted, subject to backups and legal-retention requirements.

21. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

22. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we may seek injunctive relief in any competent jurisdiction.
